Steps to become a GSDCI Certified Professional:
Step 1: Select your certification you want to pursue.
Step 2: Click on get certified tab, new pop up window will open.
Step 3: Click on pay certification fee, you will be redirected to billing details page.
Step 4: Fill your details and click on pay certification fee, You will be redirected to payment gateway, pay fee by any available options like Card(Debit/Credit), Wallet, Paytm, Net banking, UPI and Google pay.
Step 5: You will get Login Credentials of Online E-Books and Online assessment link on your email id, within 48 hrs of payment.
Step 6: After completion of online assessment, you can download your Certificate Immediately.

Module 1: Introduction to Mergers and Acquisitions: Definition and Types of M&A, Strategic Rationale for M&A, M&A Lifecycle and Process Overview, Key Players in M&A Deals, Historical Trends and Global Perspective, Common Motives and Challenges in M&A.
Module 2: Deal Structuring and Valuation: Types of Deal Structures (Asset vs Share Purchase), Due Diligence Process and Requirements, Business Valuation Methods (DCF, Comparables, Precedent Transactions), Synergy Estimation and Valuation Adjustments, Earn-outs, Escrows and Contingent Payments, Deal Financing Options (Cash, Stock, Debt).
Module 3: Legal and Regulatory Framework: M&A Laws and Regulations (Companies Act, SEBI Takeover Code), Cross-border M&A Regulations and Approvals, Antitrust and Competition Laws, Drafting and Negotiating Transaction Documents (Term Sheet, SPA), Corporate Governance and Board Approvals, Compliance and Disclosure Requirements.
Module 4: Taxation and Accounting in M&A: Tax Implications of M&A Transactions, Capital Gains and Stamp Duty Considerations, Goodwill Accounting and Purchase Price Allocation, Amalgamation vs Merger Accounting (AS/IND-AS), Tax Neutral Restructuring Options, Deferred Tax and Carry-forward Losses.
Module 5: Post-Merger Integration (PMI)L: Integration Planning and Strategy, Organizational and Cultural Integration, Systems and Process Harmonization, Communication and Stakeholder Management, Monitoring and Measuring Integration Success, Change Management in M&A.
Module 6: M&A Strategy and Case Studies: Developing M&A Strategy Aligned with Business Goals, Identifying and Evaluating Target Companies, Competitive Intelligence and Market Scanning, Lessons from Successful and Failed M&A Deals, Industry-Specific M&A Trends, Real-World Case Studies and Simulation Exercises.
GSDCI Online Assessment Detail:
- Duration- 60 minutes.

- Language: English.
- Exam Type: Multiple Choice Questions.
- Maximum Marks- 100, Passing Marks- 50%.
