The course covers key principles and frameworks of corporate governance, including roles and responsibilities of the board of directors, compliance with regulatory requirements, ethical standards, risk management, stakeholder engagement, transparency, and accountability.

Steps to become a GSDCI Certified Professional:

Step 1: Select your certification you want to pursue.

Step 2: Click on get certified tab, new pop up window will open.

Step 3: Click on pay certification fee, you will be redirected to billing details page.

Step 4: Fill your details and click on pay certification fee, You will be redirected to payment gateway, pay fee by any available options like Card(Debit/Credit), Wallet, Paytm, Net banking, UPI and Google pay.

Step 5: You will get Login Credentials of Online E-Books and Online assessment link on your email id, within 48 hrs of payment.

Step 6: After completion of online assessment, you can download your Certificate Immediately.

Assessment Modules:

Module 1: Introduction to Corporate Governance: Definition and Importance of Corporate Governance, Principles of Good Governance, Roles and Responsibilities of the Board of Directors, Corporate Governance Frameworks and Models, Stakeholders in Corporate Governance, Evolution and Trends in Corporate Governance.

Module 2: Legal and Regulatory Framework: Corporate Laws and Regulations, Securities and Exchange Regulations, Compliance Requirements, Role of Regulatory Authorities, Corporate Governance Codes and Standards, Consequences of Non-Compliance.

Module 3: Board Structure and Functioning: Composition of the Board, Roles of Chairperson and CEO, Board Committees and Their Functions, Board Meetings and Decision-Making Processes, Director’s Duties and Liabilities, Board Evaluation and Effectiveness.

Module 4: Risk Management and Internal Controls: Corporate Risk Governance, Enterprise Risk Management (ERM), Internal Control Systems, Role of Internal Audit in Governance, Fraud Prevention and Detection, Reporting and Disclosure Requirements.

Module 5: Ethics, Corporate Social Responsibility, and Sustainability: Corporate Ethics and Code of Conduct, Whistleblower Policies, Corporate Social Responsibility (CSR) Frameworks, Sustainability Reporting, Stakeholder Engagement, Environmental, Social, and Governance (ESG) Factors.

Module 6: Performance Measurement and Reporting: Key Performance Indicators (KPIs) for Governance, Corporate Governance Reporting, Annual Reports and Disclosures, Shareholder Communication and Engagement, Governance Ratings and Rankings, Continuous Improvement in Governance Practices.

GSDCI Online Assessment Detail:

• Duration- 60 minutes.
• Number of Questions- 30.
• Number of Questions from each module: 5.
• Language: English.
• Exam Type: Multiple Choice Questions.
• Maximum Marks- 100, Passing Marks- 50%.
• There is no negative marking in any module.
